Production Department GmbH

Diese Bedingungen sind verbindliche Grundlage jeglicher Vereinbarung mit der Firma Production Department GmbH. Die von der Production Department GmbH durchgeführten Aufträge werden nur zu den nachstehend aufgeführten Bedingungen abgewickelt; der Auftraggeber erkennt diese Bedingungen für den vorliegenden Auftrag und zugleich für alle zusätzlichen und zukünftigen Geschäfte mit der Production Department GmbH an. Eventuell entgegenstehenden allgemeinen Vertragsbedingungen des Auftraggebers wird hiermit ausdrücklich widersprochen.

Es gilt nur das als vereinbart, was in dem vom Auftraggeber bestätigten Kostenvoranschlag enthalten ist und ggf. davon abweichend schriftlich vereinbart wurde. Mehrkosten durch Erweiterungen des ursprünglichen Auftrages werden zusätzlich in Rechnung gestellt. Durch den Auftrag anfallende Nebenkosten (z. B. Materialkosten, Requisiten, Modellhonorare, Motivmieten, Fremdhonorare, Reisekosten, Spesen, Kuriere etc.) sind immer vom Auftraggeber zu tragen. Auf die von der Production Department GmbH in Rechnung gestellten Honorare, Nebenkosten und sonstigen Entgelte ist ggf. die jeweils gültige gesetzliche Mehrwertsteuer zu zahlen, alle Preisangaben sind Netto- preise.

Die von der Production Department GmbH angebotenen und berechneten Tagessätze beziehen sich auf eine Arbeitszeit von 10 Stunden. Erklären die Production Department GmbH bzw. ihre Mitarbeiter sich bereit, über die vereinbarte Zeit hinaus Leistungen zu erbringen, so wird ein Overtime Honorar in Höhe von 20% des vereinbarten Tageshonorars pro angefangener Stunde fällig.

Die voraussichtlichen Produktionsnebenkosten und Fremdkosten sind in im Kostenvoranschlag genannter Höhe vor Produktionsbeginn an die Production Department GmbH zu zahlen (à- Conto-Rechnung). Sofern diese Zahlung die Production Department GmbH nicht bis spätestens drei Werktage vor Produktionsbeginn zur Verfügung steht, ist sie berechtigt, vom Vertrag zurück- zutreten und Schadensersatz zu verlangen. Für alle hieraus entstehenden Schäden haftet der Auftraggeber, ihm entstehen in diesem Fall keinerlei Ansprüche gegen- über der Production Department GmbH oder von der Production Department GmbH beauftragten Dritten, wie z.B. den Vermietern von gebuchten Locations, Fotomodellen etc.

Alle Tätigkeiten der Production Department GmbH erfolgen im Rahmen eines Dienstvertrags, das vereinbarte Honorar wird unabhängig vom Erfolg einer Produktion, einer (Location-) Recherche, eines Castings etc. oder einer entsprechenden Buchung fällig. Die Production Department GmbH ist bemüht, dem Auftraggeber jederzeit möglichst aktuelles Bildmaterial von Locations, Darstellern etc. zur Verfügung zu stellen. Eine Haftung dafür, dass z.B. an Locations oder dem äußeren Erscheinungsbild von Darstellern zum Produktionstermin keine Änderungen vorgenommen werden, kann die Production Department GmbH nicht übernehmen. Auch für die Verfügbarkeit vorgeschlagener Locations oder Darsteller kann keine Haftung übernommen werden.

Von der Production Department GmbH im Kundenauftrag eingekaufte und dem Kunden in Rechnung gestellte Nutzungsrechte, z.B. von Fotografen, Fotomodellen, Locationgebern/Architekten, Designern (z.B. von Requisiten) etc., werden erst mit vollständiger Bezahlung aller dem Kunden der Production Department GmbH gestellten Rechnungen zum betreffenden Projekt auf den Kunden übertragen.

Bereits im vom Auftraggeber freigegebenen Kostenvoranschlag enthaltene Rechnungspositionen, deren Preis pro Einheit gegenüber dem Angebot unverändert ist, werden von der Production Department GmbH bei Rechnungsstellung nicht mit Drittbeleg nachgewiesen. Bei zusätzlichen Positionen oder solchen, bei denen der Preis pro Einheit vom Angebot abweicht, wird die Production Department GmbH nach Möglichkeit gegenüber dem Auftraggeber einen Nachweis in Form einer Kopie des entsprechenden Drittbeleges führen.

Einwendungen gegen von der Production Department GmbH gestellte Rechnungen sind vom Auftraggeber innerhalb von zehn Werktagen ab Erhalt der Rechnung schriftlich geltend zu machen, andernfalls gilt die Rechnung als in vollem Umfang akzeptiert und abgenommen. Spätere Einwendungen sind nicht möglich.

Der Auftraggeber ist nicht berechtigt, die Aufrechnung mit von der Production Department GmbH bestrittenen bzw. nicht rechtskräftig festgestellten Gegenansprüchen zu erklären. Der Auftraggeber ist ferner nicht berechtigt, seine ihm gegen die Production Department GmbH zustehenden Forderungen und Rechte an Dritte abzutreten bzw. zu übertragen.

Im Falle des Zahlungsverzuges ist die Production Department GmbH berechtigt, ab dem Zeitpunkt des Eintritts des Verzuges Zinsen in Höhe von acht v.H. über dem jeweiligen Leitzins der EZB zu berechnen. Die Geltendmachung eines nachweisbaren höheren Schadens bleibt ausdrücklich vorbehalten. Für jede Mahnung wird eine Bearbeitungsgebühr von zehn Euro erhoben.

Bei redaktioneller Verwertung von Bildmaterial, bei dessen Erstellung die Production Department GmbH Produktionsleistungen zu gegenüber kommerziellen Produktionen reduzierten Honoraren erbracht hat, hat die Production Department GmbH gegenüber dem Auftraggeber einen Anspruch auf Namensnennung ("Credit") bei der Veröffentlichung in üblichem Umfang. Erfolgt dies nicht, entsteht der Production Department GmbH ein Schadensersatzanspruch in Höhe der Differenz zu den Honoraren, die für eine entsprechende kommerzielle Produktion üblicherweise berechnet worden wären.

Die Production Department GmbH ist berechtigt, das bei Produktionen, an denen die Production Department GmbH mitgewirkt hat, entstandene Bildmaterial in üblichem Umfang (Internetauftritt, Newsletter, Broschüren, Show Reel etc.) zur Eigenwerbung zu nutzen und ggf. die an der Produktion Beteiligten zu nennen. Der Auftraggeber wird der Production Department GmbH entsprechendes Bildmaterial zur Verfügung stellen.

Die Gefahr des zufälligen Untergangs und der Beschädigung von Foto-, Video- und Filmmaterial liegt beim Auftraggeber. Dies gilt auch, wenn das Material der Production Department GmbH oder ihren Mitarbeitern zur Aufbewahrung, Transport oder ähnlichem übergeben wird. Die Production Department GmbH in Zusammenhang mit einem Auftrag übergebene Gegenstände sind vom Auftraggeber gegen Beschädigung, Verlust, Diebstahl etc. zu versichern; Die Production Department GmbH kann hierfür keine Haftung übernehmen. Ebenso haftet der Auftraggeber für alle Schäden, die Dritten im Zusammenhang mit der Produktion entstehen, z.B. an Locations, Props etc., sofern diese nicht durch vorsätzliches oder grob fahrlässiges Verhalten von der Production Department GmbH bzw. ihren Mitarbeitern verursacht wurden. Eine Produktionsversicherung wird von Production Department GmbH nur auf ausdrücklichen Wunsch und auf Kosten des Auftraggebers abgeschlossen. Der Auftraggeber ist gegebenenfalls verpflichtet, sich den Abschluß einer solchen Versicherung von Production Department GmbH nachweisen zu lassen, andernfalls kann er sich nicht auf den Auftrag zum Abschluß einer Versicherung berufen. Eventuell anfallende Selbstbeteiligungen sind vom Auftraggeber zu tragen. Die Höhe der Selbstbeteiligungen wird von Production Department GmbH auf Anfrage mitgeteilt.

Mängelrügen des Auftraggebers müssen umgehend nach Bekanntwerden der die Rüge begründenden Tatsache schriftlich erfolgen. Nach Ablauf einer Frist von drei Werktagen gelten die Leistungen der Production Department GmbH als vertragsgemäß und mängelfrei abgenommen.

Schadenersatzansprüche gegen Production Department GmbH sind nur bei grob fahrlässigem und vorsätzlichem Handeln möglich, allerdings der Höhe nach begrenzt auf die Höhe des vereinbarten Honorars. Für Fremdkosten wie Fotomodell-Honorare, Reisespesen etc. haftet die Production Department GmbH nicht, diese müssen auf jeden Fall vom Kunden getragen werden. Die Geltendmachung eines mittelbaren Schadens ist ausgeschlossen. Mögliche Schadenersatzansprüche des Auftraggebers gegen die Production Department GmbH verjähren in sechs Monaten. Die Verjährungsfrist beginnt mit Abschluß der Produktion.

Für von der Production Department GmbH im Rahmen eines Produktionsauftrages eingegangene Verpflichtungen gegenüber Dritten haftet in jedem Fall der Auftraggeber. Gegenüber dem Dritten haftet der Auftraggeber als Gesamtschuldner neben der Production Department GmbH.

Von der Production Department GmbH erstellte Kostenvoranschläge verstehen sich als Schätzung der für die Umsetzung des Auftrages in vorgegebenem Rahmen voraussichtlich anfallenden Kosten. Soweit möglich, wird die Production Department GmbH den Auftraggeber bzw. dessen Vertreter vor Ort bei sich abzeichnender erheblicher Überschreitung des geplanten Budgets (mehr als 10%) unverzüglich informieren. Verschiebungen zwischen einzelnen Posten innerhalb des Gesamtbudgets sind zulässig und auf sie muß nicht hingewiesen werden, soweit das Gesamtbudget nicht erheblich überschritten wird. Der Auftraggeber bevollmächtigt seinen Vertreter vor Ort, ggf. verbindliche Budgetentscheidungen zu treffen. Generell haftet die Production Department GmbH für Budgetüberschreitungen nur bei vorsätzlichem oder grob fahrlässigem Verhalten. Dies trägt der Tatsache Rechnung, dass ein reibungsloser Produktionsablauf und die Umsetzung produktionslogistischer und kreativer Vorgaben vor Ort kurzfristig schwer kalkulierbare Mehrkosten verursachen können.

Wird ein erteilter Auftrag aus Gründen, die die Production Department GmbH nicht zu vertreten hat, nicht ausgeführt, kann sie ein Ausfallhonorar in Höhe von 50% des vereinbarten Honorars berechnen, ohne dass es eines Schadensnachweises bedarf. Wird ein bereits begonnener Auftrag nicht fertig gestellt, ohne dass dies die Production Department GmbH zu vertreten hat, so steht ihr das volle Honorar zu. Als begonnen gilt ein Auftrag, wenn die Production Department GmbH mit der Ausführung ihrer vertraglich geschuldeten Leistung angefangen hat. Wird ein Auftrag früher als geplant fertig gestellt, so steht die Production Department GmbH trotzdem das volle Honorar im ursprünglich vereinbarten Umfang zu. Wird die für die Durchführung des Auftrages vorgesehene Zeit aus Gründen überschritten oder verschoben bzw. aus Gründen wiederholt, die nicht von der Production Department GmbH zu vertreten sind, z.B. bei nachträglich gewünschten Abweichungen vom Briefing, schlechtem Wetter, nicht rechtzeitiger Bereitstellung von Produkten, Fehlern im Labor, Nichterscheinen der Fotomodelle, Reisegepäckverlust etc., erhöht sich das Honorar im Verhältnis zu dem ursprünglich vereinbarten Honorar. Die Nebenkosten erhöhen sich in diesem Falle nach Aufwand.

Der Auftraggeber stellt die Production Department GmbH frei von Forderungen Dritter in Zusammenhang mit der Genehmigung und/oder finanziellen Abgeltung von Veröffentlichungsrechten, z.B. von Modellen oder Motivgebern/Designern/Urheberrechtsinhabern. Er ist verpflichtet, sich vor einer Veröffentlichung von der Übertragung der erforderlichen Rechte selbst zu überzeugen. Auch bei über die Production Department GmbH gescouteten und/oder gebuchten Locations oder Props kann die Production Department GmbH aufgrund der Auslegungsproblematik des Urheberrechts nicht garantieren, dass bei Nutzung keine Urheberrechtsansprüche Dritter, z.B. von Architekten oder Designern, geltend gemacht werden. Die Production Department GmbH haftet gegenüber dem Auftraggeber nicht für solche Ansprüche und wird von diesem gegenüber dem Rechteinhaber von allen derartigen Ansprüchen freigestellt.

Sofern die Beauftragung von der Production Department GmbH kreative Leistungen beinhaltet, ist der Auftraggeber bzw. ein von ihm Bevollmächtigter verpflichtet, während der Produktion anwesend zu sein und seine Zustimmung zu der gestalterischen Auffassung zu geben. Sofern weder der Auftraggeber selbst noch ein Bevollmächtigter bei der Produktion anwesend ist, kann die künstlerische Gestaltung des Werkes nicht zu einem späteren Zeitpunkt vom Auftraggeber abgelehnt werden. In einem solchen Fall ist jede neue Erstellung des Werkes gesondert zu honorieren.

Nebenabreden oder von diesen Bedingungen abweichende Vereinbarungen bedürfen der Schriftform. Wird eine Bestimmung des Vertrages oder dieser Vertragsbedingungen unwirksam, berührt dies nicht die Wirksamkeit der übrigen Bedingungen und des Vertrages. Erfüllungsort und Gerichtsstand ist für beide Teile, soweit gesetzlich zulässig, Hamburg. Es gilt das Recht der Bundesrepublik Deutschland. Auch in dem Fall, dass der Auftraggeber seinen Geschäftssitz im Ausland hat, gilt deutsches Recht und Hamburg als Gerichtsstand als vereinbart.

Terms & Conditions

These terms and conditions are binding for any agreement with Production Department GmbH. All orders processed by Production Department GmbH are carried out only in accordance with the terms and conditions stated below; the principal accepts these terms and conditions for the current order and for all additional or future transactions with Production Department GmbH. We expressly exclude all contradictory terms and conditions of the principal.

The agreement covers only the terms and conditions included in the order acknowledgments and discussed previously when the order was placed. Additional costs for supplementing the original order will be invoiced additionally. All incidental expenses in connection with the order are to be borne by the principal (material and laboratory costs, props, model fees, travel and other expenses, couriers, etc.). The corresponding statutory value added tax must be paid in addition to all fees invoiced by Production Department GmbH.

The daily rates offered and calculated by Production Department GmbH correspond to 10 hours of work. If Production Department GmbH or its employees agree to be available beyond the agreed period, an overtime fee of 20% of the agreed daily fee will be due per started hour.

The prospective incidental expenses for production, location fees, model fees etc. are to be paid prior to the beginning of production in accordance with the amount stated in the estimate of cost (payment on account). If this payment is not received at least 3 days prior to the beginning of production, Production Department GmbH is entitled to refuse to render its services and to claim damages. The principal is liable for all losses resulting from non-observance of the above-mentioned clause; it will not have claims against Production Department GmbH or Third Parties commissioned by Production Department GmbH, e.g., persons authorized to use the locations booked.

If Production Department GmbH scouts locations on behalf of the principal for an agreed fee, this scouting is in the context of a service contract, which means that the fee is due regardless of the success of the scouting or booking of one of the locations scouted. This also applies if Production Department GmbH is commissioned by the principal to carry out (street) castings.

Publishing rights invoiced by Production Department GmbH, e.g. of photographers, photo models, location providers/architects, etc., will only be transferred to the customer after complete payment of Production Department GmbH invoice by the customer.

Documentation will not be provided for invoice items listed in the cost estimate already agreed to by the principal with the same unit prices as stated in the offer when these items are billed by Production Department GmbH. In the case of additional items or items with unit prices differing from the offer, Production Department GmbH will provide substantiation – as far as possible – by means of copies of the corresponding documentation.

Objections to invoices issued by Production Department GmbH must be made in writing within 10 working days after receiving the invoice, otherwise the invoice will be deemed as completely accepted. Later objections are not possible.

The principal is not entitled to offset claims contested by Production Department GmbH or counterclaims which have not been legally established. Furthermore the principal is not entitled to assign or transfer its rights or claims against Production Department GmbH to Third Parties.

In the case of delayed payment, Production Department GmbH is entitled to charge interest on arrears of 8 % above the respective prime rate of the ECB effective after the due date. The right to assert a substantiated higher loss is expressly reserved. A handling fee of 10€ is charged for each reminder.

In the case of editorial use of photographic material which was produced by Production Department GmbH at fees lower than those of commercial productions, Production Department GmbH has the right to be credited by the principal within the customary scope when the above material is published. If this is not done, Production Department GmbH has the right to claim damages in the amount of the difference between the fees invoiced for the production and the fees which would have normally been paid for the corresponding commercial production.

Production Department GmbH is entitled to use photographic material produced in cooperation with Production Department GmbH for self-advertising purposes within the customary scope (internet, brochures, Show Reel etc.) and to name persons or companies involved in the production should the situation arise. The principal will provide Production Department GmbH with the corresponding material.

The principal bears the risk of casual loss or damage of photos, video and film footage. This also applies if the material was entrusted to Production Department GmbH for storage, transportation or similar purposes. The principal must take out insurance against damage, loss, theft, etc., of material handed over to Production Department GmbH in connection with an order; Production Department GmbH cannot assume any liability in these cases. The principal is also liable for all losses incurred by Third Parties in connection with the production, e.g. locations, props, etc., unless these losses were caused by the intentional or grossly negligent behaviour of Production Department GmbH or its employees. Production Department GmbH will take out (film) production insurance only at the express request of the principal. The corresponding insurance

costs are borne by the principal. If necessary, the principal is obligated to ask Production Department GmbH to prove that insurance has been procured - otherwise the principal cannot refer to the instructions to take out insurance. Any deductibles in connection with the insurance are to be borne by the principal. The amount of the deductibles will be communicated by Production Department GmbH on request.

Claims by the principal must be made in writing immediately after recognizing the reason for complaint. The services provided by Production Department GmbH are accepted as being according to contract and without defects after expiration of a period of 3 working days. Claims against Production Department GmbH will become statute-barred after six months. The limitation period starts once production is completed.

Production Department GmbH does its utmost to provide the principal with up-to-date photographic material of locations, actors etc. at any time. However, Production Department GmbH cannot assume any liability if for example locations or actors’ appearances have changed by the beginning of the production. Furthermore Production Department GmbH cannot assume any liability for the availability of the suggested locations or actors.

Claims against Production Department GmbH are possible only in the case of grossly negligent or intentional behavior, but they are limited to the amount of the agreed fee. Production Department GmbH is not liable for third-party costs such as photo model fees, travel expenses etc. Assertion of claims of indirect losses is ruled out.

The principal is responsible for any liabilities incurred by Production Department GmbH to third parties in connection with the production in any case. The principal is liable to third parties as the joint and several debtor together with Production Department GmbH.

Cost estimates drawn up by Production Department GmbH are to be understood as an estimate of the expected costs for the realization of the order. As far as possible, Production Department GmbH will immediately inform the principal or its representative on site if the planned budget will probably be exceeded considerably (more than 10%). Individual items within the budget can be shifted and do not have to be communicated, providing the total budget is not substantially exceeded. The principal will authorize its representative on site to make decisions regarding the budget if required. In general, Production Department GmbH is liable for exceeding the budget only in the case of intentional or grossly negligent behavior. This takes into account the fact that trouble-free production and the realization of logistic and creative requirements on site can cause hard-to-calculate additional costs at short notice.

If an order is not executed for reasons beyond Production Department GmbH responsibility, Production Department GmbH is entitled to charge a kill fee of 50 % of the agreed fee without any obligation to prove the incurred loss. If an order - which was already started - is not finished for reasons beyond Production Department GmbH responsibility, Production Department GmbH is entitled to charge the complete fee. An order will be deemed as started as soon as Production Department GmbH begins to render its contractually owed service. If an order is finished sooner than originally expected, Production Department GmbH is entitled to charge the complete fee agreed upon. If the period for the realization of the order is exceeded, deferred or repeated for reasons beyond Production Department GmbH responsibility, e.g. in the case of subsequent wishes differing from the briefing, bad weather, products which were not provided on time, errors in the laboratory, non-attendance of photo models, loss of baggage etc., the fee is increased in relation to the originally agreed fee. In this case, incidental expenses will increase at cost.

The principal will exempt Production Department GmbH from third party claims in connection with the approval and/or financial compensation of publishing rights, e.g. of models or motif providers/copyright owners. The principal is obligated to assure itself of the transfer of the required rights prior to publication. Due to the problematic interpretation of copyright law, Production Department GmbH cannot guarantee that third parties (e.g. architects) will not assert copyright claims in connection with locations scouted and/or booked via Production Department GmbH. Production Department GmbH is not responsible to the principal for such claims and is released by the principal from liability to rights owners for all such claims.

If Production Department GmbH is assigned to do creative work (in the context of a production), the principal or a person authorized by the principal is obligated to attend the production and to approve the creative work. If neither the principal itself nor a person authorized by the principal attends the production, the creative work of the production cannot be rejected by the principal at a later time. In such a case each new re-creation of the work is to be remunerated separately.

Any supplementary agreement or modification of the present terms and conditions require the written form. Should a certain provision of the contract or of these General Terms of Business become ineffective, the validity of the other provisions and of the contract remains untouched. Place of performance is Hamburg – if permitted by law - for both parties. The laws of the Federal Republic of Germany apply. German law applies and Hamburg remains the place of performance even if the principal’s place of business is located abroad.
